Website & Services Terms of Service

Last updated:

1. About us

These Terms of Service (“Terms”) govern your use of the website and services provided by MSR Tech LLP (“MSR Tech”, “we”, “us” or “our”).

MSR Tech LLP is a limited liability partnership registered in England and Wales under company number OC459237, with its registered office at:

MSR Tech LLP
Stoney Works, 8 Stoney Lane
London, United Kingdom, SE19 3BD

2. Scope of these Terms

These Terms apply to your use of:

  • our website located at msrtech.co.uk (or any successor domain); and
  • our services and communications that refer to or link to these Terms.

We also develop and publish mobile applications. Each application may have its own end user licence terms and/or in‑app terms of service (for example, as displayed on the relevant app store listing or within the app). Where there is any inconsistency between these website Terms and the specific terms applicable to a mobile application, the application‑specific terms will take precedence in relation to your use of that application.

3. Acceptance of these Terms

By accessing or using our website or services, you confirm that you:

  • have read and understood these Terms; and
  • agree to be bound by them.

If you do not agree to these Terms, you must not use our website or services.

If you are using our website or services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms and, in that case, “you” and “your” refer to that entity.

4. Your use of our website and services

You agree that you will:

  • use the website and services only for lawful purposes and in accordance with these Terms;
  • not attempt to gain unauthorised access to any part of the website, our systems or the systems of our service providers;
  • not introduce any viruses, malware or other harmful code;
  • not use the website or services in any way that could damage, disable, overburden or impair them or interfere with any other party’s use;
  • not use the website or services for any fraudulent or misleading activity; and
  • not reverse engineer, decompile or otherwise attempt to derive the source code of any software that forms part of our services, except to the extent permitted by applicable law.

5. Accounts and communications

At present, our website does not provide user accounts. If we introduce account‑based features in the future, separate terms or notices may apply.

When you contact us (for example, via support@msrtech.net), you agree that:

  • any information you provide is accurate to the best of your knowledge; and
  • we may use your contact details to respond to your enquiry and, where appropriate, to follow up on our business relationship with you.

6. Intellectual property

Unless otherwise stated, all content on the website and within our services, including text, graphics, logos, icons, images, user interface elements and software, is owned by or licensed to MSR Tech LLP and is protected by copyright, trade mark and other intellectual property laws.

We grant you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the website for your personal or internal business purposes, in accordance with these Terms. You must not:

  • copy, modify, distribute, sell or lease any part of the website or its content;
  • remove, obscure or alter any copyright, trade mark or other proprietary notices; or
  • use any of our trade marks, branding or logos without our prior written consent.

7. Third‑party content and links

Our website and services may include links to third‑party websites or resources. We provide these links for convenience only and we do not endorse or control, and are not responsible for, any third‑party content, products, services or websites. Your use of third‑party sites is at your own risk and may be subject to the terms and privacy policies of those third parties.

8. No guarantee of availability

We aim to keep our website and services available and up to date, but we do not guarantee that they will be available at all times or free from errors, interruptions or security vulnerabilities. We may suspend, withdraw or restrict the availability of all or any part of the website or services for business and operational reasons, including maintenance and updates.

9. Disclaimers

To the fullest extent permitted by applicable law, the website and services are provided on an “as is” and “as available” basis and we do not make any warranties or representations, whether express or implied, about them. In particular, we do not warrant that:

  • the website or services will be error‑free, secure or operate without interruption;
  • any information or content provided is complete, accurate or up to date; or
  • the website or services will meet your specific requirements.

Nothing in these Terms is intended to exclude or limit any warranties or rights that cannot be excluded or limited under applicable law.

10. Limitation of liability

Nothing in these Terms excludes or limits our liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability that cannot be excluded or limited under applicable law.

Subject to the above, and to the fullest extent permitted by law:

  • we will not be liable for any loss of profits, loss of revenue, loss of business, loss of data, loss of goodwill or for any indirect, consequential or special loss or damage arising out of or in connection with your use of (or inability to use) the website or services; and
  • our total aggregate liability to you arising out of or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall be limited to £100 or, if higher, the amount you have paid to us (if any) for the relevant service during the twelve (12) months preceding the event giving rise to the claim.

11. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless MSR Tech LLP and its partners, employees and contractors from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • your breach of these Terms; or
  • your misuse of the website or services.

12. Changes to these Terms

We may update these Terms from time to time, for example to reflect changes in our services, our business structure or applicable law. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of the website or services after any changes have been posted will constitute your acceptance of the updated Terms.

13. Termination and suspension

We may suspend or terminate your access to the website or services at any time, without prior notice, if we reasonably believe that you have breached these Terms or used the website or services in a way that may cause harm to us, our users or third parties, or if we are required to do so by law.

14. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non‑contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim, except that nothing in these Terms shall limit our right to bring proceedings against you in any other court of competent jurisdiction.
